Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and ReClick.io ("Company," "we," "our," or "us") regarding your use of our digital marketing services, including Google Ads management and conversion rate optimization.

By engaging our services, accessing our website, or using any of our digital marketing tools, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

2. Description of Services

ReClick.io provides the following digital marketing services:

  • Google Ads Management: Campaign setup, optimization, and management for ecommerce and lead generation
  • Conversion Rate Optimization (CRO): Website analysis, testing, and optimization to improve conversion rates
  • Landing Page Design: Creation and optimization of high-converting landing pages
  • Analytics and Reporting: Performance tracking, analysis, and regular reporting
  • Strategic Consulting: Digital marketing strategy development and implementation

3. Service Agreement and Scope

3.1 Service Scope

The specific services to be provided will be outlined in a separate Service Agreement or Statement of Work ("SOW") that will detail:

  • Specific services to be performed
  • Timeline and deliverables
  • Fees and payment terms
  • Performance metrics and KPIs
  • Client responsibilities and requirements

3.2 Client Responsibilities

To ensure successful service delivery, the Client agrees to:

  • Provide accurate and complete information about their business and marketing goals
  • Grant necessary access to advertising accounts, analytics platforms, and website systems
  • Respond to requests for information, approvals, or feedback in a timely manner
  • Provide necessary brand assets, content, and materials
  • Comply with all applicable laws and regulations
  • Maintain the security of their accounts and systems

4. Fees and Payment Terms

4.1 Service Fees

Service fees will be specified in the Service Agreement or SOW. Fees may include:

  • Monthly management fees
  • Performance-based bonuses or commissions
  • Additional service fees for scope changes

4.2 Payment Terms

Unless otherwise specified in the Service Agreement:

  • Monthly fees are billed at the beginning of each month for the current month
  • Payment is processed automatically via credit card
  • Late payments may incur additional fees
  • Services may be suspended for non-payment
  • All fees are non-refundable unless otherwise specified

4.3 Advertising Spend

Client is responsible for all advertising spend on platforms such as Google Ads. ReClick.io does not guarantee specific results or return on advertising spend (ROAS).

5. Performance and Results

5.1 No Guarantees

While we strive to deliver excellent results, ReClick.io cannot guarantee specific outcomes, including but not limited to:

  • Specific return on advertising spend (ROAS)
  • Conversion rate improvements
  • Lead generation volumes
  • Revenue increases
  • Search engine rankings

5.2 Performance Factors

Marketing performance depends on various factors outside our control, including:

  • Market conditions and competition
  • Client's product or service quality
  • Website functionality and user experience
  • Economic factors and seasonality
  • Changes in advertising platform algorithms

6. Intellectual Property

6.1 Client Materials

Client retains ownership of all materials, content, and intellectual property provided to ReClick.io. Client grants ReClick.io a limited license to use such materials for the purpose of providing services.

6.2 ReClick.io Materials

ReClick.io retains ownership of all proprietary methods, processes, tools, and intellectual property developed or used in providing services, unless otherwise specified in the Service Agreement.

6.3 Work Product

Upon full payment of fees, Client will own the final deliverables created specifically for Client, subject to ReClick.io's retention of underlying methodologies and tools.

7. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and sensitive information disclosed during the course of the engagement. This includes:

  • Business strategies and plans
  • Financial information and performance data
  • Customer lists and contact information
  • Proprietary methodologies and processes
  • Technical information and trade secrets

Confidentiality obligations survive termination of the service agreement.

Use of Results in Case Studies

By engaging our services, you grant ReClick.io permission to reference and summarize campaign outcomes and performance results in case studies that may be published on our website and other professional platforms where we maintain a business presence (e.g., LinkedIn). We will avoid disclosing confidential information and, where appropriate, may anonymize sensitive details upon request.

8. Limitation of Liability

To the maximum extent permitted by law, ReClick.io's liability for any claims arising from or related to our services shall be limited to the total amount paid by Client for the specific services giving rise to the claim in the 12 months preceding the claim.

ReClick.io shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities.

9. Indemnification

Client agrees to indemnify and hold harmless ReClick.io from any claims, damages, or expenses arising from:

  • Client's violation of these Terms or applicable laws
  • Client's use of our services in an unauthorized manner
  • Client's provision of inaccurate or misleading information
  • Client's failure to comply with platform terms of service

10. Termination

10.1 Termination by Either Party

Either party may terminate the service agreement with 30 days written notice, unless otherwise specified in the Service Agreement.

10.2 Immediate Termination

ReClick.io may terminate services immediately upon:

  • Non-payment of fees
  • Breach of these Terms
  • Violation of applicable laws or platform policies
  • Misrepresentation or fraud

10.3 Effect of Termination

Upon termination, Client remains responsible for all fees incurred up to the termination date. ReClick.io will provide reasonable assistance in transitioning services to another provider.

11. Compliance and Legal Requirements

Client is responsible for ensuring compliance with all applicable laws and regulations, including:

  • Advertising and marketing regulations
  • Data protection and privacy laws
  • Industry-specific regulations
  • Platform terms of service and policies

ReClick.io will conduct all activities in accordance with applicable laws and industry best practices.

12. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, war, terrorism, or technical failures of third-party platforms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

14. Modifications to Terms

ReClick.io reserves the right to modify these Terms at any time. We will notify clients of material changes via email or through our website. Continued use of our services after such modifications constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with any Service Agreement or SOW, constitute the entire agreement between the parties and supersede all prior agreements and understandings.
